Does a private placement memorandum have to be drafted by an attorney?
Not necessarily but it should be. While it's true that a private placement memorandum is a legal document and not something that you want to mess around with, one does not need to be an attorney to draft a private placement memorandum. However, it is important to make sure that the person who drafts it understands what goes into it, because if they don't, they may not be able to ensure compliance with all applicable laws. Imagine if you were doing something you’ve never done before - how well do you think you’re going to do it? Also, think of the liability if you mess this up… hmmm. An ounce of prevention is worth a pound of cure.
